For a fixed amount per month, Maslon provides basic corporate legal services to clients accepted into our Emerging Business Program.

Under the program, an emerging business can get the sound business advice it needs while having the resources of a sophisticated law firm readily available in a cost effective manner. We will assist you in examining certain legal issues and in preparing documents that meet your business needs. These services include:

General Corporate Matters

• Attend your company's board meetings, prepare minutes and other corporate resolutions
• Maintain the corporate minute book, prepare stock certificates and maintain stock transfer records
• Prepare basic subscription agreements for limited investments
• Assist your company in assessing its capitalization, including strategic assessment of financing alternatives

Employment Matters

• Advise you about structuring employment relationships and compensation and how to attract and provide incentives for employees
• Assist you in preparing:
  • Consulting agreements
  • Employment agreements for key employees (including non-competition provisions)
  • Nondisclosure and/or confidentiality agreements for employees and/or consultants
  • Non-competition agreements
  • Basic employment manual, including essential company policies such as those relating to sexual harassment
  • Prepare and administer employee stock ownership plans and stock option agreements
